Terms & Conditions

Effective from: 2025

1.1 Agreement: These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Grassd Services Private Limited ("Grassd," "we," "us," or "our"), a company registered under the Companies Act, 2013, having its registered office at 111,Kalinga Vihar, Patrapada, Bhubaneswar, Odisha, 751019, CIN: U551010D2023PTC044574
1.1.1 Business Model: Grassd primarily operates as a platform connecting vehicle owners with renters.
1.2 User/Customer: Refers to the individual or entity accessing our services.
1.3 Platform: Includes our website (grassd.in), mobile applications, and digital interfaces.
1.4 Services: Refers to the vehicle rental services offered.
1.5 Consumer: As defined under the Consumer Protection Act, 2019.
1.6 Acceptance: By accessing or using our services, you accept the Terms.
1.7 Legal Compliance: These Terms comply with all applicable laws in India.

2.1 Age Requirement: Minimum age is 21 years.
2.2 Valid License: A valid driving license is required.
2.3 License Validity: License must be at least 1 year old.
2.4 International Drivers: Must have an International Driving Permit.
2.5 Identity Verification: Valid ID and address proof required.
2.6 Grassd's Right to Refuse: We reserve the right to refuse service.

3.1 Identity Proof: Aadhaar, Passport, Voter ID Card, Any other government-issued photo ID accepted by Grassd or Local IDs/Students must carry their Job/College/Institution ID card. Without any Job/College ID, No local ID is eligible to rent a car under Grassd Platform. Mail your driving license, Aadhaar Card Copy or other ID & live photo in support@grassd.in for pre-verification of your documents. In the absence of any Valid/required Documents the booking will be treated as cancelled and Rs. 500/- will be deducted from total amount paid along with cancellation charges according to Cancellation Policy.
3.2 Driving License: You must provide a copy of your valid driving license authorizing you to drive the specific vehicle type you are renting, as required under Section 3 of the Motor Vehicles Act, 1988.
3.3 Document Verification: All documents are subject to verification. In case of any discrepancy or failure to provide the required documents, Grassd reserves the right to deny the rental without any refund of booking amounts.
3.4 Document Deposit: Depending on the vehicle type and rental terms, we may require you to deposit original identification documents during the rental period. These will be returned upon the satisfactory return of the vehicle. A proper receipt acknowledging the deposit of such documents will be provided.
3.5 Digital Verification: Grassd may use digital verification methods, including but not limited to OTP verification, digital signatures, and online document validation, in compliance with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.

4.1 Booking Process:Bookings can be made through our Platform, subject to vehicle availability.
4.2 Booking Confirmation:A booking is confirmed only after payment of the specified amount and issuance of a booking ID, constituting a valid contract under Section 10 of the Indian Contract Act, 1872.
4.3 Transparent Pricing: In compliance with the Consumer Protection Act, 2019, all charges, including rental fees, security deposits, taxes, and any additional services, will be clearly disclosed during the booking process. There shall be no hidden charges.
4.4 Payment Methods: We accept payments through various methods as specified on our Platform, including but not limited to credit/debit cards, UPI, net banking, and wallet payments, in compliance with the Payment and Settlement Systems Act, 2007 and RBI guidelines.
4.5 Security Deposit: A refundable security deposit is required at the time of vehicle pickup. The amount may vary based on the vehicle type and will be clearly communicated during the booking process. A proper receipt for the security deposit will be provided.
4.6 Rental Charges: Rental charges are as per the rates displayed on our Platform at the time of booking. These charges may vary based on factors such as vehicle type, duration, and seasonal demand.
4.7 Promotional Offers: Any promotional offers, discounts, or vouchers are subject to their specific terms and conditions and cannot be combined unless explicitly stated. All promotions comply with the Consumer Protection Act, 2019.

5.1 Modification Policy: Bookings can be modified up to 24 hours before the scheduled pickup time, subject to vehicle availability and applicable modification fees.
5.2 Extension Requests: Extension requests must be made at least 24 hours before the scheduled drop-off time and are subject to availability and additional charges at the prevailing rates.
5.3 Cancellation Timeline and Refunds:
- Cancellations made 2 or more days before pickup time: 85% refund
- Cancellations made between 1-2 days before pickup time: 65% refund
- Cancellations made less than 24 hours before pickup time or no-shows: No Refund
- Bookings confirmed on partial payments are not refundable.
5.4 Grassd Cancellations: If Grassd is unable to provide the vehicle due to unforeseen circumstances or if the vehicle develops qualitative problems before pickup, a 100% refund will be processed along with reasonable compensation as required under the Consumer Protection Act, 2019.
5.5 Refund Processing: All eligible refunds will be processed within 5-7 working days to the original payment method used for booking, in compliance with RBI guidelines for payment reversals.
5.6 Early Returns: If you return the vehicle before the scheduled drop-off time, No refund shall be applicable.
5.7 Consumer Rights: Nothing in these cancellation policies shall restrict your statutory rights as a consumer under the Consumer Protection Act, 2019.

6.1 Pickup Process: You must arrive at the designated pickup location at least 15 minutes before the scheduled time for documentation and formalities.
6.2 Vehicle Inspection: You are entitled and encouraged to inspect and test drive the vehicle before accepting it. Any existing damages or issues must be reported to our representative and documented before leaving the rental location. A joint inspection report shall be prepared and signed by both parties. In cases where a formal inspection report is not possible, you must report any pre-existing damage by taking photographs and sending them to Grassd customer support before starting your trip.
6.3 Digital Inspection Record: Grassd may use digital means to record the condition of the vehicle at pickup, including photographs and videos. You will receive access to these records.
6.4 Fuel Level: The vehicle's fuel level will be recorded at the time of pickup and must be returned with the same fuel level.
6.5 Acceptance: By signing the handover form and accepting the vehicle, you acknowledge that the vehicle is in good working condition and satisfactory for your use, constituting acceptance under the Indian Contract Act, 1872. In cases where a formal handover form is not provided by a dealer, the act of starting the trip and driving the vehicle away shall be deemed as your explicit acceptance that you have inspected the vehicle, found it fit for use, and accepted it in its current condition. This implied acceptance has the same legal effect as a signed handover form.
6.6 Vehicle Documentation: You will receive copies of the vehicle's Registration Certificate (RC), Insurance Certificate, and Pollution Under Control (PUC) Certificate, as required under Section 39, Section 146, and Section 56 of the Motor Vehicles Act, 1988 respectively. These documents must be kept with the vehicle at all times and returned upon vehicle drop-off.
6.7 Vehicle Familiarization: Our representative will guide you through the vehicle's features, controls, and any specific operating instructions. It is your responsibility to familiarize yourself with the vehicle before departing.

7.1 Additional Drivers: You may add up to two additional drivers to your rental agreement, subject to the following conditions:
- Each additional driver must meet all eligibility criteria
- Each additional driver must be present at the time of pickup
- Each additional driver must provide the same documentation as the primary renter
- An additional fee may apply for each additional driver
7.2 Responsibility: The primary renter remains fully responsible for the vehicle regardless of who is driving at any given time, as per the principle of vicarious liability under Indian tort law.
7.3 Unauthorized Drivers: The vehicle must only be driven by authorized drivers listed in the rental agreement. Any damage or liability arising from use by unauthorized drivers will be fully borne by the primary renter, subject to the provisions of the Motor Vehicles Act, 1988.

8.1 Authorized Drivers: Only the person(s) named in the rental agreement with valid driving licenses submitted to Grassd are authorized to drive the rented vehicle in compliance with Section 3 of the Motor Vehicles Act, 1988.
8.2 Geographical Restrictions: The vehicle may be operated only within the geographical boundaries of Odisha (said by customer at the time of booking), subject to any specific restrictions mentioned during booking. Interstate permits, where applicable, shall be arranged by Grassd in compliance with Section 66 of the Motor Vehicles Act, 1988.
8.3 Prohibited Uses: The vehicle shall NOT be used:
- For any illegal purpose or in violation of applicable laws.
- Under the influence of alcohol, drugs, or any intoxicating substance (violation of Section 185 of the Motor Vehicles Act, 1988).
- For racing, speed testing, or competitive events (violation of Section 189 of the Motor Vehicles Act, 1988).
- For towing or pushing any vehicle or object unless designed for such purpose.
- For carrying goods or passengers for hire (violation of Section 66 of the Motor Vehicles Act, 1988).
- For any stunts or manoeuvres (including but not limited to wheelies, stoppies, or burnouts).
- To transport hazardous, explosive, or inflammable materials.
- In a manner that exceeds the vehicle's capabilities or specifications.
- For commercial purposes, unless specifically authorized in writing by Grassd.
8.4 Speed Limit: You must adhere to all posted speed limits in compliance with Section 112 of the Motor Vehicles Act, 1988. Excessive speeding (above 80 kmph) may result in penalties as specified in Section 12.
8.5 Tracking Systems: You acknowledge that the vehicle may be equipped with GPS tracking and telemetry systems that monitor location, speed, and driving behaviour. This data may be used for security, operational, and billing purposes with your explicit consent as required under the Digital Personal Data Protection Act, 2023.
8.6 Traffic Rules: You must comply with all traffic rules and regulations as per the Motor Vehicles Act, 1988 and rules thereunder. Any violations, fines, or penalties will be your sole responsibility.
8.7 Vehicle Modification: You are not permitted to make any modifications or alterations to the vehicle, including but not limited to mechanical changes, stickers, or paint.
8.8 Smoking and Cleanliness: Smoking is strictly prohibited in all Grassd vehicles as per the Cigarettes and Other Tobacco Products Act, 2003. The vehicle must be returned in a clean condition.
8.9 Pet Policy: Pets are not allowed in the vehicles unless specifically authorized in writing by Grassd, in which case additional cleaning fees may apply. Service animals are exempt from this prohibition as per Section 44 of the Rights of Persons with Disabilities Act, 2016.
8.10 Kilometer Limitations:
-300 km is Offered to the Customer in the vehicle for booking for 24Hrs & above.
-250 km is offered to the Customer in the vehicle for booking for 12 hrs & above.
- Any deroute from the shared destination/route and Prohibited districts of Malkangiri, Phulbani , Koraput , Similipal , if travelled will incur a penalty of Rs.5,000/- and no RSA(road side assistance) will be applicable on booking.
- Customer must inform in advance if planning to go Outside the Odisha State Border.
- Except booking amount there will be an additional km charge which will be the half of estimated km decided by the customer.
8.11 Calculation based on vehicle categories mentioned below-
-Micro/Hatchback/Sedan (INR 5/km)
-SUV/CUV/7seater/ (INR 7/km)

9.1 Rental Period: The rental period commences at the time of vehicle pickup and ends at the scheduled drop-off time as specified in the booking.
9.2 Minimum Rental: For hourly rentals, a minimum billing of 12 hours is applicable.
9.3 Grace Period:
- For daily rentals: A grace period of 1 hour beyond the scheduled drop-off time is allowed.
9.4 Late Return Charges: Returns after the grace period will incur a penalty of INR 250 per/hr (2/4/5 seaters), 300 per/hr (6/7/8/9 seaters) will be applicable. These charges are reasonable pre-estimated damages as allowed under Section 74 of the Indian Contract Act, 1872.
9.5 Extension Procedure: If you wish to extend the rental period, you must do so via Grassd Website/ App before expiry of the rental period. Extensions are subject to vehicle availability and may involve additional charges at prevailing rates.
9.6 Extension Limits: Grassd reserves the right to limit the duration of extensions based on vehicle maintenance schedules and other operational factors.

10.1 Fuel Responsibility: Fuel costs are not included in the rental charges and are your responsibility.
10.2 Fuel Level: Vehicles are to be returned at the same fuel level at which offered during start of the trip. Failure to do so will result in refuelling charges at prevailing rates plus a service charge of INR 200.
10.3 Fuel Type: You must use only the type of fuel specified for the vehicle. Any damage resulting from the use of incorrect fuel will be your responsibility.
10.4 Fuel Receipt: You are advised to keep the fuel receipt from the last refuelling before return, which may be requested as proof of refuelling.
10.5 Electric Vehicles: For electric vehicles, specific charging policies will be provided at the time of booking and may differ from conventional fuel policies, in compliance with the Ministry of Power guidelines for electric vehicles.

11.1 Return Location: The vehicle must be returned to the same location from where it was picked up, unless otherwise agreed in writing by Grassd.
11.2 Return Time: You must return the vehicle at the scheduled drop-off time. Early returns do not qualify for refunds and late returns will incur penalties as specified in Section 9.4.
11.3 Return Condition: The vehicle must be returned in the same condition as it was provided, subject to normal wear and tear.
11.4 Return Inspection: A Grassd representative will inspect the vehicle upon return for any damages or issues. You are encouraged to be present during this inspection. A joint inspection report shall be prepared and signed by both parties. In cases where a formal inspection is not conducted by the dealer at the time of return, you are advised to take photographs of the vehicle at the time of return as proof of its condition.
11.5 Digital Return Record: Grassd may use digital means to record the condition of the vehicle at return, including photographs and videos.
11.6 Security Deposit Refund: Subject to the satisfactory condition of the vehicle, the security deposit will be refunded within 5-7 working days, in compliance with RBI guidelines for payment reversals.
11.7 Abandonment: You may not abandon the vehicle at any location without Grassd's written permission. Abandonment will result in forfeiture of the entire security deposit and may lead to legal action under applicable provisions of the Indian Penal Code, 1860.
11.8 Personal Belongings: Grassd is not responsible for any personal belongings left in the vehicle after return. We will make reasonable efforts to recover and return any items found, but cannot guarantee their return.

12.1 Tolls and Parking: All tolls, parking fees, entry permits, and similar charges incurred during the rental period are your responsibility.
12.2 Traffic Violations: All fines, penalties, and legal costs arising from traffic violations during the rental period are your responsibility in accordance with the Motor Vehicles Act, 1988.
12.3 Post-Rental Violations: For challans or traffic violations received after the rental period for violations that occurred during your rental, you agree to reimburse Grassd within 7 days of notification.
12.4 Processing Fee: In addition to the actual fine amount, Grassd may charge a processing fee of INR 200 for handling each traffic violation notice, representing the administrative costs incurred.
12.5 State Border Taxes: When crossing state borders, you are responsible for paying any applicable inter-state taxes or permits at the respective checkpoints as required under various state motor vehicle rules.

13.1 Regular Maintenance: Grassd provides fully serviced vehicles in compliance with Section 56 of the Motor Vehicles Act, 1988. If scheduled maintenance is due during your rental period, you will be notified at the time of pickup.
13.2 Breakdown Assistance: In case of a mechanical breakdown:
- During support hours (09:30 AM to 06:00 PM IST, except Sundays and public holidays): Contact our customer support immediately for assistance.
- Outside support hours: For urgent situations, use the emergency contact provided at the time of vehicle pickup. For non-urgent matters, send an email to support@grassd.in or raise a support ticket, which will be addressed during the next working hours.
- Within city limits: Support will coordinate roadside assistance during working hours.
- Outside city limits: You are responsible for getting the vehicle repaired at your expense. Reimbursement may be considered upon submission of original bills for authorized repairs.
13.3 Customer Support: Grassd provides customer support from 09:30 AM to 06:00 PM IST, except Sundays and public holidays. Outside these hours, customers can raise support tickets or send emails to support@grassd.in, which will be addressed during the next working hours. For emergencies outside working hours, limited assistance may be available through the contact information provided at the time of vehicle pickup.
13.4 Mobility Guarantee: If a vehicle becomes inoperable due to mechanical failure (not due to user negligence or accidents):
- Within city limits: Grassd will provide a replacement vehicle (subject to availability) or reimburse reasonable alternative transportation costs.
- Outside city limits: Grassd will assist in arranging repairs but cannot guarantee replacement vehicles outside service areas.
13.5 Authorized Repairs: For emergency repairs costing up to INR 1000, you may proceed without prior approval. For repairs exceeding INR 1000, prior approval from Grassd is required.
13.6 Reimbursable Repairs: Grassd will reimburse costs for the following repairs, subject to submission of original bills:
- Battery issues
- Brake pads
- Oil and lubricants
- Electrical failures
- Tires and tubes (with limitations as specified in Section 13.8)
13.7 Non-Reimbursable Repairs: Repairs due to user negligence, accidents, or misuse will not be reimbursed.

14.1 Basic Insurance: All vehicles come with basic third-party liability insurance as mandated by Section 146 of the Motor Vehicles Act, 1988.
14.2 Insurance Details: The insurance coverage includes:
- Third-party liability as mandated by law under Section 146 of the Motor Vehicles Act, 1988
- Coverage period: As required by applicable law
14.3 Damage Responsibility:
-Grassd will not be responsible for any damages during the travel, if any damage while travel. Renter should take care of the repair charges by their own up to ₹.45000/- In Normal range vehicles & ₹.150000/- In Premium range Vehicles.
-Insurance claim can be applicable for damage or repaired charges above ₹.45000/- For Normal vehicles & ₹.150000/- for premium range Vehicles only. For any excess charges apart from claim amount, the renter will be liable to pay. The renter must bear the rental of vehicle for idle period estimated by Grassd from the drop-off time till the vehicle is restored under the insurance claims on the base price as per booked.
-Vehicles registered with Grassd may be continuously tracked by using advanced telematics for security reasons or for reasons deemed fit and proper by Grassd. Any tampering with mechanical / electrical / telematics such may be penalized and legal action may be taken against the renter alongwith a fine of ₹.10000/-.
14.4 Protection Exclusions: Even with Insurance protection plans, certain damages are never covered, including but not limited to:
- Damage caused while driving under the influence of alcohol or drugs (Section 185 of the Motor Vehicles Act, 1988)
- Damage caused by unauthorized drivers
- Damage resulting from prohibited uses of the vehicle
- Damage to the vehicle interior
- Loss of vehicle keys or documents
- Tire punctures (as detailed in Section 13.8)
- Tire damage (unless part of a larger accident)
- Damage to accessories (GPS devices, other attach while pickup of the vehicle.)
14.5 Insurance Claim Process: In case of an accident requiring an insurance claim:
- You must file a police report (FIR) within 24 hours as required by Section 158 of the Motor Vehicles Act, 1988
- You must notify Grassd immediately
- You must provide all requested documentation
- You must cooperate fully with the insurance company and Grassd
14.6 Statutory Compliance: This insurance provision complies with the Motor Vehicles Act, 1988, and the Insurance Regulatory and Development Authority of India (IRDAI) regulations.

15.1 Accident Reporting: In case of an accident, you must:
- Immediately inform the nearest police station as required by Section 134 of the Motor Vehicles Act, 1988
- Notify Grassd customer support within 1 hour during support hours (09:30 AM to 06:00 PM IST, except Sundays and public holidays), or send an email to support@grassd.in and raise a support ticket if outside support hours
- Obtain a copy of the FIR/NCR
- Not admit liability to any third party
- Take photographs of the damage and accident scene if possible
- Collect contact details of any witnesses and other parties involved
15.2 Damage Assessment: All damages will be assessed by Grassd or its authorized representatives. The assessment shall be considered final, although you will be provided with detailed documentation of the assessment.
15.3 Damage Charges: You are liable for all damages to the vehicle during the rental period, including the cost of repairs using genuine spare parts and labour charges, subject to the terms of any damage protection plan you may have purchased.
15.4 Lost Rental Charges: In case of accidents requiring repairs, you are liable to pay the daily rental charges for the period during which the vehicle is under repair and unavailable for rental, representing a reasonable pre-estimate of losses as allowed under Section 74 of the Indian Contract Act, 1872.
15.5 Driving Under Influence: If an accident occurs while driving under the influence of alcohol or drugs (in violation of Section 185 of the Motor Vehicles Act, 1988), you will be liable for the full value of damages without any limitations.
15.6 Key Loss: Loss of vehicle keys will result in a replacement charge based on the vehicle model.
15.7 Third-Party Liability: Nothing in this agreement limits your liability towards third parties for injury or property damage under the Motor Vehicles Act, 1988.

In the event of an accident, the car owner may be involved to facilitate the prompt recovery of the damaged part or item, provided the estimated cost is below ₹30,000 In that case no insurance will be covered.

16.1 Traffic Violations: All fines, penalties, and legal costs arising from traffic violations during the rental period are your responsibility in accordance with the Motor Vehicles Act, 1988.
16.2 Speed Limit Violation: A penalty of INR 500 may be imposed for each instance of exceeding the speed limit of 80 Kmph, in addition to any government-imposed fines under Section 183 of the Motor Vehicles Act, 1988.
16.3 Smoking Penalty: A penalty of INR 500 plus the cost of cleaning/repairs will be charged if smoking evidence is found in the vehicle, in accordance with the prohibition under the Cigarettes and Other Tobacco Products Act, 2003.
16.4 Cleaning Charge: A cleaning fee of up to INR 500 may be charged if the vehicle is returned in an excessively dirty condition.
16.5 Pet Cleaning Charge: If unauthorized pets have been transported in the vehicle, a cleaning fee of up to INR 500 may be applied.
16.6 Stunts and Misuse: Performing stunts or vehicle misuse will attract penalties up to INR 35,000 and potential legal action under Section 184 of the Motor Vehicles Act, 1988.
16.7 Document Loss: A charge of INR 500 will be applied for lost or damaged vehicle documents.
16.8 Odometer Tampering: Tampering with the vehicle's odometer or tracking devices will result in a penalty of INR 10,000 plus any additional damages, and may also result in criminal charges under Section 198 of the Motor Vehicles Act, 1988.
16.9 Unauthorized Extension: Using the vehicle beyond the scheduled return time without proper extension approval will result in late return charges (INR 500/hr) and may be treated as unauthorized possession.
16.10 Reasonableness of Charges: All charges mentioned in this section represent a genuine pre-estimate of the loss that would be suffered by Grassd, as allowed under Section 74 of the Indian Contract Act, 1872.

17.1 Vehicle Quality: If the vehicle is not in satisfactory condition at the time of pickup, you may request a replacement vehicle or cancel the booking for a full refund, in accordance with your rights under the Consumer Protection Act, 2019.
17.2 Mechanical Issues: If the vehicle develops mechanical issues within the first hour of the rental period or within the first 10 kilometers (whichever comes first) due to no fault of yours, you may return it for a replacement or full refund.
17.3 Resolution Process: Any complaints regarding service quality must be communicated to Grassd customer support at the earliest. Grassd will make reasonable efforts to address and resolve all legitimate concerns.
17.4 Feedback System: Grassd encourages customers to provide feedback on their rental experience. This feedback will be used to continuously improve our services.
17.5 Consumer Dispute Resolution: In case of unresolved disputes, you have the right to approach the appropriate Consumer Dispute Redressal Commission as provided under the Consumer Protection Act, 2019. The jurisdiction (District, State, or National Commission) will depend on the claim amount as specified in the Act.

18.1 Wallet Credits: Wallet credits are promotional in nature and cannot be transferred to bank accounts, gifted, or exchanged for cash.
18.2 Earning Credits: Wallet credits may be earned through various activities, including but not limited to referrals, promotions, loyalty programs, and as compensation for service issues.
18.3 Usage of Credits: Wallet credits can be used to pay for bookings on the Platform, subject to the limitations specified by Grassd.
18.4 Expiry: Wallet credits will expire at the period in 3 years from the date earned, unless otherwise specified, in alignment with the limitation period under the Indian Limitation Act, 1963.
18.5 Payment Restriction: Wallet credits can be used to pay up to 70% of the payable amount in a transaction.
18.6 Modification Rights: Grassd reserves the right to modify, forfeit, or alter the terms of wallet credits with prior notice of at least 30 days, in compliance with consumer protection regulations.

19.1 Program Participation: Grassd may offer a loyalty program that rewards frequent customers. Participation in the program is subject to its specific terms and conditions.
19.2 Earning Points: Program participants may earn points based on their rental activity, which can be redeemed for rewards as specified in the program terms.
19.3 Tier Benefits: The loyalty program may include different tiers with increasing benefits based on rental frequency and spending.
19.4 Program Modifications: Grassd reserves the right to modify or terminate the loyalty program with prior notice of at least 30 days to participants, in compliance with consumer protection regulations.

20.1 Data Collection: Grassd collects and processes personal information in accordance with its Privacy Policy and in compliance with the Digital Personal Data Protection Act, 2023, which is incorporated into these Terms by reference.
20.2 Data Collection Statement: We collect the following categories of personal data:
- Identification information (name, address, phone number, email)
- Payment information
- Driving license and identity documents
- Rental history
- Vehicle location during the rental period (when tracking is enabled)
- Driving behaviour metrics (when tracking is enabled)
20.3 Explicit Consent: By agreeing to these Terms, you provide explicit, informed, and voluntary consent for the collection and processing of your personal data for the purposes stated in our Privacy Policy, as required under the Digital Personal Data Protection Act, 2023.
20.4 Location Tracking: You acknowledge and expressly consent to Grassd's use of GPS or similar technology to track the location of its vehicles for security and operational purposes. You may withdraw this consent by disabling tracking features where technically feasible, but this may limit certain service features.
20.5 Driving Behavior Monitoring: The vehicle may be equipped with technology that monitors driving behavior, including but not limited to speed, acceleration, braking, and route. This data may be used for security, operational, and billing purposes with your explicit consent as obtained through these Terms.
20.6 Data Sharing: Grassd may share your information with third parties, including insurers, legal authorities, and service providers, as described in the Privacy Policy and as permitted under the Digital Personal Data Protection Act, 2023.
20.7 Data Retention: Your personal data will be retained only for as long as necessary to fulfil the purposes for which it was collected, or as required by law, and will be securely disposed of thereafter in accordance with the Digital Personal Data Protection Act, 2023.
20.8 Data Security: Grassd implements reasonable technical and organizational security measures to protect your personal information, as required under the Digital Personal Data Protection Act, 2023, but cannot guarantee absolute security.

21.1 Amicable Resolution: Any dispute, controversy, or claim arising out of or relating to this Agreement, including but not limited to its existence, validity, interpretation, performance, breach, or termination, shall first be attempted to be resolved amicably between the parties through good faith negotiations within 30 days from the date when the dispute first arises.
21.2 Mandatory Arbitration: If the dispute cannot be resolved amicably through negotiations within the specified period, all disputes arising out of or in connection with this Agreement shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended).

22.1 User Indemnification Obligation: You agree to defend, indemnify, and hold harmless Grassd Services Private Limited, its directors, officers, employees, agents, partners, suppliers, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:
a) Your breach or violation of these Terms and Conditions, or any documents referenced herein;
b) Your violation of any applicable law, rule, or regulation, including but not limited to the Motor Vehicles Act, 1988, traffic laws, and local ordinances;
c) Your operation or use of the vehicle in violation of these Terms;
d) Your negligence, misconduct, or wrongful acts or omissions in connection with the use of Grassd's Platform or services;
e) Any personal injury, property damage, or other harm caused to any third party during your rental period;
f) Any dispute between you and any third party, including other road users, that arises from your use of Grassd's services;
g) Any false, inaccurate, or misleading information provided by you during the booking process or at any time during the rental period;
h) Any claim or liability arising from unauthorized drivers operating the vehicle during your rental period; or
i) Your infringement of any intellectual property or other rights of any third party.
22.2 Notification and Cooperation: RenTrip will: (a) promptly notify you in writing of any indemnifiable claim, demand, action, or proceeding; (b) give you reasonable assistance and cooperation in the defense or settlement of such matter at your expense; and (c) give you sole control over the defense and settlement of such matter, provided that you may not settle any claim that imposes any liability or obligation on Grassd without Grassd's prior written consent.
22.3 Grassd's Right to Defend: Notwithstanding Section 22.2, Grassd reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with RenTrip in the defense of such matter.
22.4 Survival: The indemnification obligations under this section shall survive the termination or expiration of your rental period and these Terms and Conditions.
22.5 Insurance and Indemnity: The existence of any insurance coverage provided in connection with the vehicle rental shall not reduce or eliminate your indemnification obligations under this section.
22.6 Limitation: Nothing in this indemnification section shall be construed to limit any other remedies available to Grassd under applicable law.

23.1 Termination by User: You may terminate your agreement with Grassd by:
- Completing your rental and returning the vehicle as scheduled
- Cancelling your booking in accordance with Section 5 of these Terms
- Closing your account on the Platform, which will not affect any ongoing rentals or outstanding obligations
23.2 Termination by Grassd: Grassd reserves the right to terminate this agreement, cancel any booking, or suspend or terminate your access to the Platform immediately and without prior notice under the following circumstances:
- Violation of any provision of these Terms
- Providing false, inaccurate, or misleading information
- Engaging in fraudulent or illegal activities
- Using the vehicle or Platform in a manner that poses a safety risk
- Failure to pay any amounts due
- Repeated cancellations or no-shows
- Upon receipt of requests from law enforcement or regulatory authorities
- If Grassd, in its sole discretion, believes termination is necessary to protect its interests, the vehicle, or the safety of others
23.3 Effect of Termination: Upon termination:
- You must immediately return any rented vehicle in your possession
- All outstanding payments become immediately due and payable
- You will lose access to the Platform and all user accounts
- Any unused wallet credits or loyalty points may be forfeited at Grassd's discretion
23.4 Survival: The following provisions shall survive termination or expiration of this agreement: Sections 12 (Tolls, Parking, and Traffic Violations), 13.7 (Non-Reimbursable Repairs), 14 (Damage Protection and Insurance), 15 (Accidents and Damages), 16 (Penalties and Charges), 20 (Privacy and Data Protection), 21 (Dispute Resolution and Jurisdiction), 22 (Indemnification), and 23 (Force Majeure), 25 (Severability), and any other provisions which by their nature are intended to survive termination.
23.5 Account Reactivation: Grassd may, at its sole discretion, allow reactivation of terminated accounts subject to such terms and conditions as it deems appropriate.

24.1 Definition: For purposes of these Terms, "Force Majeure Event" means any event beyond the reasonable control of the affected party, including but not limited to:
- Acts of God (including floods, earthquakes, tsunamis, and other natural disasters)
- Epidemics, pandemics, or public health emergencies
- War, invasion, hostilities, terrorism, civil unrest, riots, or civil commotion
- Government actions, orders, restrictions, prohibitions, or requisitions
- Strikes, lockouts, or other industrial actions (except those involving Grassd's own workforce)
- Breakdown of essential utilities including electricity, water, or telecommunications
- Extraordinary road closures, major accidents, or traffic congestion
- Unavailability of fuel or essential vehicle parts
- Any other circumstance that is beyond the reasonable control of the affected party
24.2 Non-Performance: Neither party shall be considered in breach of these Terms or otherwise liable for any delay or failure in performance of any obligations under these Terms, to the extent that such delay or failure is due to a Force Majeure Event.
24.3 Notification: The party affected by a Force Majeure Event shall:
- Notify the other party as soon as reasonably practicable about the nature, extent, and expected duration of the Force Majeure Event
- Use reasonable efforts to mitigate the effect of the Force Majeure Event
- Resume performance of its obligations as soon as reasonably possible after the Force Majeure Event has ended
24.4 Extended Duration: If a Force Majeure Event continues for more than 7 consecutive days:
- Either party may cancel any affected booking without penalty
- Grassd shall refund any prepaid amounts for services not rendered
- The user shall remain liable for services already rendered prior to the Force Majeure Event
24.5 Alternative Arrangements: In case of a Force Majeure Event, Grassd may, at its discretion, offer alternative vehicles, pickup locations, or rental arrangements subject to availability.

25.1 Ownership: All intellectual property rights in and to the Platform, including but not limited to copyrights, trademarks, service marks, trade names, logos, domain names, design rights, database rights, patents, trade secrets, software, source code, content, graphics, layout, look and feel, and other proprietary rights (whether registered or unregistered) and all derivatives thereof, are owned by or licensed to Grassd Services Private Limited and are protected by applicable intellectual property laws.
25.2 Limited License: Subject to your compliance with these Terms, Grassd grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal, non-commercial purposes related to vehicle rental services.
25.3 Restrictions: You shall not:
- Copy, modify, adapt, translate, create derivative works from, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Platform or any portion thereof
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform or any portion thereof
- Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices from the Platform
- Use any manual or automated means, including scrapers, bots, spiders, or other data mining techniques to access, monitor, copy, or extract any data from the Platform
- Use the Platform in any way that could damage, disable, overburden, or impair it
- Use the Grassd name, logo, or trademarks without prior written consent
25.4 User Content: By submitting any content to the Platform (including reviews, feedback, and images), you grant Grassd a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit such content in any media or format now known or hereafter developed, for any purpose whatsoever.
25.5 Feedback: Any feedback, suggestions, ideas, or other information provided by you regarding the Platform or Grassd's services may be used by Grassd without any restriction or compensation to you.
25.6 Trademark Notice: "Grassd" and related logos, and other words and logos on the Platform are either trademarks or registered trademarks of RenTrip Services Private Limited in India ,and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Grassd.
25.7 Copyright Infringement: If you believe that your work has been copied and posted on the Platform in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:
- An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest
- A description of the copyrighted work that you claim has been infringed
- A description of where the material that you claim is infringing is located on the Platform
- Your contact information, including address, telephone number, and email address
- A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
- A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

26.1 Severability Provision: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitral tribunal, then:
- Such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable
- If such modification is not possible, the relevant provision shall be deemed deleted
- Any modification to or deletion of a provision shall not affect the validity and enforceability of the rest of these Terms
26.2 Essential Terms: If any provision deemed essential to the accomplishment of the purpose of these Terms is held invalid or unenforceable, the parties shall promptly negotiate in good faith to replace such invalid or unenforceable provision with a valid and enforceable provision that achieves, to the extent possible, the economic, business, and other purposes of the invalid or unenforceable provision.
26.3 No Waiver: The failure of Grassd to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Grassd.
26.4 Entire Agreement: These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Grassd concerning your use of the Platform and services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
26.5 Statutory Rights: Nothing in these Terms shall affect your statutory rights as a consumer under applicable Indian law, including the Consumer Protection Act, 2019, which cannot be waived or limited by contract.
